Artist Agreement
Version 1.0 · Effective June 2026 · Governing Law: Tennessee
This Artist Agreement ("Agreement") governs the relationship between CueSoul.ai ("Platform") and any artist ("Artist") who submits music for listing, licensing, or promotion through the CueSoul platform. By submitting music or activating a paid membership, Artist agrees to all terms below.
1. Non-Exclusive License to CueSoul
Artist grants CueSoul.ai a non-exclusive, worldwide license to market, promote, pitch, and license Artist's submitted tracks to third-party licensees on Artist's behalf. Artist retains full ownership of all master recordings and compositions at all times. CueSoul acts solely as a licensing agent — not a label, publisher, or rights owner.
2. Competing Platform Policy — The Duplicate Submission Rule
Artists may list their music on other platforms. CueSoul is non-exclusive. However, the following conditions apply and violations result in immediate removal without refund.
Artist agrees to the following regarding competing platform submissions:
- Disclosure required: At time of submission, Artist must disclose if any submitted track is currently listed on another sync licensing platform, stock music library, or AI music marketplace.
- No conflicting exclusives: Artist may not submit to CueSoul any track that is under an exclusive license or exclusive listing agreement with any other platform. Doing so constitutes material breach of this Agreement.
- No undercutting: Artist may not list the same track on a competing platform at a materially lower price without updating their CueSoul pricing accordingly. CueSoul reserves the right to match the lowest listed price for any track in our catalog.
- No self-dealing: Artist may not use CueSoul's supervisor contacts, relationships, or outreach data to circumvent the platform and license directly at a lower fee. Any placement that originates from a CueSoul introduction or pitch — regardless of where the final transaction occurs — is subject to CueSoul's standard commission of 25%.
- Audit right: CueSoul reserves the right to search public licensing platforms to verify compliance. Discovery of an undisclosed exclusive listing results in immediate account suspension.
Plain language: List your music wherever you want. Just don't give us tracks that are exclusively locked somewhere else, don't use our relationships to cut us out of a deal, and tell us if you're already listed somewhere so we can price correctly.
3. Revenue Share & Payment Terms
- Starter tier: Artist receives 70% of net licensing revenue. CueSoul retains 30%.
- Pro tier: Artist receives 75% of net licensing revenue. CueSoul retains 25%.
- Net licensing revenue is defined as the license fee received minus payment processing fees (Stripe: 2.9% + $0.30 per transaction).
- Payments are issued within 14 days of a confirmed, cleared license transaction.
- Minimum payout threshold: $25.00. Balances below $25 roll to the following period.
- Artist is solely responsible for reporting licensing income to applicable tax authorities. CueSoul will issue a 1099-NEC to any Artist earning $600 or more in a calendar year.
4. Dispute Resolution Policy
CueSoul operates a structured three-tier dispute process for all conflicts between Artists, Licensees, and the Platform.
Tier 1 — Internal Resolution (Days 1–7)
- Disputing party submits a written dispute to legal@cuesoul.ai with subject line "DISPUTE — [Order/Track ID]"
- CueSoul acknowledges receipt within 48 business hours
- CueSoul reviews all transaction records, license documentation, and correspondence
- CueSoul issues a written determination within 7 business days
Tier 2 — Mediation (Days 8–30)
- If either party disputes the Tier 1 determination, either party may request mediation in writing
- Mediation will be conducted via a mutually agreed upon mediator or through the American Arbitration Association (AAA) online mediation service
- Costs of mediation are split equally between the disputing parties unless mediation results in a finding of bad faith, in which case the bad-faith party bears full cost
Tier 3 — Binding Arbitration
- Any dispute not resolved through Tiers 1 or 2 shall be resolved by binding arbitration under AAA Commercial Arbitration Rules
- Arbitration shall take place in Shelby County, Tennessee or via video conference
- Class action waiver: Artist waives any right to participate in a class action lawsuit against CueSoul.ai
- Prevailing party in arbitration is entitled to recover reasonable attorney's fees
No chargebacks without notice. Artist agrees not to initiate a payment processor chargeback or dispute without first completing Tier 1 internal resolution. Initiating a chargeback without completing Tier 1 constitutes breach of this Agreement and may result in permanent account suspension.
5. Licensee Dispute Policy
When a Licensee raises a dispute about a licensed track:
- Clearance disputes: If a Licensee claims a track was not properly cleared, CueSoul will provide full documentation of AI origin and ownership. If Artist provided false ownership information at submission, Artist bears full liability and CueSoul will seek indemnification from Artist for any costs incurred.
- Quality disputes: Sync licenses are non-refundable once the asset pack has been downloaded. If assets were defective or materially misrepresented, CueSoul may issue a credit toward a future license at its sole discretion.
- Placement failure: A license fee is earned at the moment of purchase regardless of whether the licensed track is ultimately used in the project. No refunds for editorial decisions made after license issuance.
- Unauthorized use: If a Licensee uses a track beyond the scope of the purchased license, CueSoul will pursue the Licensee for the appropriate license upgrade fee on Artist's behalf. Artist authorizes CueSoul to take reasonable legal action to enforce license terms.
6. Artist Warranties & Representations
By submitting music to CueSoul, Artist warrants and represents that:
- Artist is the sole owner of all rights in and to each submitted track
- The track does not contain any third-party samples, interpolations, or unlicensed elements
- The track has not been registered with any other entity as an exclusive asset
- Artist has registered or will register the work with a PRO (ASCAP, BMI, or SESAC) within 30 days of submission
- Artist is at least 18 years of age and legally authorized to enter into this Agreement
- All information provided at submission — genre, mood tags, BPM, key, instrumentation — is accurate to the best of Artist's knowledge
7. Indemnification
Artist agrees to indemnify, defend, and hold harmless CueSoul.ai, its officers, employees, and agents from any claims, damages, losses, or expenses (including attorney's fees) arising from: (a) Artist's breach of any warranty in this Agreement; (b) any third-party claim that a submitted track infringes their intellectual property rights; (c) Artist's violation of any applicable law.
8. Account Suspension & Termination
CueSoul reserves the right to suspend or terminate an Artist account immediately and without refund upon:
- Submission of a track with false ownership information
- Violation of the competing platform/duplicate submission policy
- Circumvention of the platform to avoid commission on a CueSoul-originated placement
- Initiation of a chargeback without completing Tier 1 dispute resolution
- Any conduct that damages CueSoul's reputation or relationships with music supervisors
Upon termination, Artist's tracks are removed from the catalog within 5 business days. Any pending license fees owed to Artist at time of termination will be paid out within 30 days, minus any amounts owed to CueSoul.
9. Term & Renewal
This Agreement begins on the date of first payment and continues on a monthly basis. Either party may terminate with 30 days written notice. CueSoul may update these terms with 30 days notice to the Artist's registered email address. Continued use of the platform after notice constitutes acceptance of updated terms.
10. Governing Law
This Agreement is governed by the laws of the State of Tennessee. Venue for any legal proceedings not subject to arbitration shall be Shelby County, Tennessee.
