1. Parties

This Non-Exclusive Sync License Agreement ("Agreement") is entered into between CueSoul.ai ("Licensor"), acting as authorized licensing agent on behalf of the recording artist ("Artist"), and the individual or entity purchasing the license ("Licensee").

2. AI Disclosure & Ownership

Licensee acknowledges and agrees that:

The licensed track was created using artificial intelligence music generation tools (including but not limited to Suno AI).
The Artist is the sole rights holder of the master recording and composition, having directed the creative process, selected the final output, and registered the work appropriately.
The track contains no third-party samples, no interpolations, and no unlicensed elements. All rights are held by the Artist exclusively.
The Artist has registered this work with a performing rights organization (ASCAP, BMI, or SESAC) and/or a publishing administrator where applicable.

3. Grant of License

Subject to payment of the applicable license fee, Licensor grants Licensee a non-exclusive, non-transferable, worldwide license to synchronize the licensed track with the specified audiovisual project ("Project") as described at time of purchase.

This license covers:

One (1) production, film, documentary, advertisement, social media post, podcast episode, or video content as specified at purchase
Use of the full track, instrumental version, and 30-second edit as delivered
Distribution across the platforms specified in the license tier purchased

4. License Tiers

Standard License ($50–$250): Online and digital distribution only. YouTube, Vimeo, social media platforms, podcasts. No broadcast. No theatrical release.

Extended License ($250–$500): Includes online/digital plus limited broadcast (regional TV, streaming platform original content, brand campaigns).

Premium License ($500+): Full broadcast rights including national television, theatrical, advertising campaigns with national/international reach. Pricing negotiated per project.

5. Restrictions

Licensee may NOT:

Claim ownership, copyright, or authorship of the licensed track or any portion thereof
Resell, sublicense, or transfer this license to any third party
Include the licensed track in any competing music library, sync catalog, stock music platform, or licensing marketplace
Use the track in content that promotes hate, violence, illegal activity, or defamation
Use the track as a standalone audio product for sale (ringtone, album release, etc.) — this is a sync license only
Remove, alter, or obscure any metadata, watermark, or attribution embedded in the audio file

6. Attribution

Where credits are included in the licensed Project, Licensee agrees to credit the Artist as follows:

"[Track Title]" by [Artist Name] · Licensed via CueSoul.ai

Attribution is encouraged but not required for social media and short-form content under 60 seconds.

7. Performance Royalties

This license covers the synchronization fee only. Performance royalties are separate and are the responsibility of the Licensee for any broadcast, streaming platform, or public performance use that triggers PRO reporting obligations. The Artist will collect performance royalties through their registered PRO (ASCAP/BMI/SESAC) separately from this license.

8. AI Music Transparency Compliance

CueSoul.ai operates in full compliance with emerging AI music transparency standards. Licensees in jurisdictions with AI disclosure requirements for broadcast or commercial use are responsible for ensuring their use of AI-generated music complies with applicable local regulations. CueSoul.ai provides a Certificate of AI Origin upon request for any licensed track.

9. Warranties

Licensor warrants that, to the best of its knowledge:

The Artist holds full rights to the licensed track
The track does not infringe any third-party copyright
No third-party clearances are required for Licensee's permitted use

LICENSOR MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED. THIS LICENSE IS PROVIDED "AS IS."

10. Limitation of Liability

In no event shall CueSoul.ai or the Artist be liable for indirect, incidental, special, or consequential damages arising from Licensee's use of the licensed track. Total liability shall not exceed the license fee paid.

11. Termination

This license terminates automatically upon breach of any term. Upon termination, Licensee must immediately cease all use of the licensed track. License fees are non-refundable upon termination due to breach.

12. Governing Law

This Agreement shall be governed by the laws of the State of Tennessee, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Shelby County, Tennessee.

13. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the licensed track and supersedes any prior negotiations or representations.
