By accessing or using CueSoul.ai ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms apply to all visitors, artists, licensees, supervisors, and any other users of the Platform.
Users under 18 years of age are not permitted to create accounts or submit music to CueSoul without verified parental or guardian consent.
CueSoul.ai operates a sync licensing marketplace connecting AI music artists with music supervisors, content creators, brands, and production companies. Services include:
Compositions in the CueSoul catalog are created using AI-assisted music generation tools in combination with original human authorship, including lyric writing, creative direction, arrangement, editing, and final selection. CueSoul AI LLC maintains internal Chain-of-Authorship documentation for each track establishing this human creative contribution. See our AI Disclosure page for full detail. CueSoul AI LLC represents that it holds the rights necessary to license each composition offered on this Platform.
You agree to provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials. You must notify CueSoul immediately at hello@cuesoul.ai if you suspect unauthorized access to your account. CueSoul is not liable for losses resulting from unauthorized account access caused by your failure to secure your credentials.
In addition to these Terms, artists are subject to the separate Artist Agreement, which governs music submissions, revenue share, competing platform policies, and dispute resolution. The Artist Agreement is incorporated into these Terms by reference.
You agree not to:
Artist Content: Artists retain full ownership of all submitted music and associated content. By submitting to CueSoul, artists grant CueSoul a non-exclusive license to display, promote, pitch, and license their music on their behalf as detailed in the Artist Agreement.
CueSoul IP: The CueSoul name, logo, website design, platform code, and all original content created by CueSoul are the exclusive property of CueSoul AI LLC. You may not use, reproduce, or distribute CueSoul's intellectual property without written permission.
Licensed Content: Licensees receive a non-exclusive sync license as described in the License Agreement. No ownership rights transfer to the licensee.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. CUESOUL DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. CUESOUL DOES NOT GUARANTEE ANY SPECIFIC NUMBER OF LICENSING PLACEMENTS OR REVENUE FOR ANY ARTIST.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CUESOUL AI LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM. CUESOUL'S TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO CUESOUL IN THE 12 MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless CueSoul AI LLC, its officers, employees, and agents from any claims, losses, damages, or expenses (including attorney's fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your submission of content that infringes third-party rights; or (d) any false information you provide to CueSoul.
CueSoul reserves the right to suspend or terminate your account at any time for violation of these Terms or the Artist Agreement, with or without notice depending on the severity of the violation. You may terminate your account at any time by emailing hello@cuesoul.ai with 30 days notice. Upon termination, your catalog listings will be removed and any pending earnings above $25 will be disbursed within 30 days.
All disputes between users and CueSoul shall be resolved through the three-tier process described in the Artist Agreement: (1) internal resolution, (2) mediation, (3) binding arbitration under AAA Commercial Rules in Shelby County, Tennessee. Class action lawsuits against CueSoul are expressly waived.
These Terms are governed by the laws of the State of Tennessee without regard to conflict of law principles. For matters not subject to arbitration, venue shall be Shelby County, Tennessee.
CueSoul may update these Terms at any time. Material changes will be communicated via email with at least 30 days notice. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
